The Oct. 16 filings cover Series 4 and 5 onshore and Series 4 SP and 5 SP offshore; Atreides Management LP is listed as a related person, not the issuer.

At a glance

10-second brief
  • Four Atreides Lookfar series filed Form Ds on Oct. 16, each reporting an undisclosed offering amount and $0 sold.

  • Atreides Management LP is named on all four as a related person, not as the issuer.

Four Atreides Lookfar series filed Form Ds on Oct. 16, each reporting an undisclosed offering amount and $0 sold. The issuers are Atreides Lookfar Fund LLC Series 4 and Series 5, and Series 4 SP and Series 5 SP of Atreides Lookfar Offshore Fund SPC.

All four sit in the private equity fund category within the pooled investment fund industry group. In each case the offering amount is undisclosed and the amount sold to date is zero, so the filings describe vehicles that have been registered for sale without reporting any capital taken in.

Atreides Management LP is named on all four as a related person, not as the issuer. The domestic pair lists Atreides Lookfar LLC, Atreides Management LP, Gavin Baker and Laura Malone among related persons. The offshore pair lists Atreides Management LP alongside John D'Agostino, Jason Fitzgerald and David Finn.

The set has a symmetrical shape: one onshore LLC series and one offshore SPC series for each of Series 4 and Series 5. That pattern suggests a single offering run split into domestic and offshore vehicles, though the filings themselves do not say so. What they establish is narrower. Four series exist, they are categorized as private equity, and as of the filings no sales had been reported. Whether capital has since been accepted is not something the forms answer.

Other issuers filing the same day reported money in. Empros Technologies Fund XLVII, LLC, also categorized as a private equity fund, reported $48.1 million sold against an undisclosed offering amount, with a first sale dated June 25. Crystal Creek Capital Growth & Income Fund, LLC, an other investment fund, reported $71.7 million sold and a first sale dated Aug. 21.

A zero in the sold field is not by itself distinctive in this batch. Beacon Co-Invest, L.P. and Charism Capital Fund I, LP, both pooled investment funds filed the same day, also reported nothing sold and disclosed no offering amount. The difference between those filings and the Empros and Crystal Creek filings is the disclosure of money raised, not the disclosure of a fund size.

What the four filings do and do not show

For anyone tracking Atreides' private-market buildout, the useful detail is the naming. The Lookfar vehicles carry Atreides Management LP as a related person and, on the domestic side, Atreides Lookfar LLC as a separate entity, with Baker and Malone named onshore and D'Agostino, Fitzgerald and Finn named offshore. The offshore SPC files separate series numbers that mirror the domestic ones exactly, which is the structure a sponsor uses when it wants the same strategy available to non-U.S. investors without a second vehicle name.

None of the four discloses a target size, a strategy description beyond the private equity category, or an investor count. Those blanks are worth stating plainly rather than reading into: a Form D with an undisclosed amount and zero sold is a notice of an offering, and on its own it says nothing about how much the sponsor expects to raise or from whom.
