AlpInvest files Form Ds for onshore Secondaries Fund IX and credit-secondaries sidecar

Neither Form D states an offering amount, and both list $0K sold to date.

On September 29, AlpInvest filed Form D notices for AlpInvest Secondaries Fund (Onshore) IX, L.P. and ASPF (Onshore Sidecar) III - Credit Secondaries, L.P., both pooled investment funds of the private equity type, neither disclosing an offering size and both putting the amount sold to date at $0K—the shape of an opening entry in a series rather than a wrap-up.

The detail sits in the related persons. Fund IX names two: ALPINVEST SECONDARIES IX GP, L.P. and ALPINVEST SECONDARIES IX LUX GP S.A R.L., the second carrying LUX in its name, while the sidecar filed the same day names a single GP, ASPF III-CS SIDECAR GP, LLC. Read the numerals and the two lines look different in age: the onshore flagship series carries a nine and the credit-secondaries sidecar a three, which suggests the credit sleeves are a younger set of vehicles, but the filings do not say whether the sidecar sits alongside Fund IX at all or what relationship either registrant has to the funds that came before them.

Before anyone counts four filings, the index carries each registration twice: the main fund appears under two EDGAR data paths and the sidecar under two more, with the same accession number attached each time—0000904454-26-000499 for the main fund and 0000904454-26-000500 for the sidecar—which is one document indexed against two filer paths.

A Form D reserves an exemption and says almost nothing about money, which is why the amount-sold line matters more here than the offering-amount line: zero sold at the filing date is a point-in-time figure, not a statement that the vehicles have raised nothing, and a later filing in either series is where a size would surface. The private-markets gateway is still being built on paperwork like this, and a ninth onshore secondaries fund arriving alongside a dedicated credit-secondaries sleeve fits the pattern rather than standing as an exception.

What allocators will want is what neither document provides: the sidecar's name is the only description on offer, and the filings do not say who the investors are, where the credit exposure comes from, or what either vehicle is targeting. The first subsequent Form D for either entity will show whether the amount-sold field still reads zero—the earliest public answer to the question both filings leave open.
