SpaceXAI faces $6.1 million Mississippi stormwater permit claim

MDEQ alleges work began at three sites before stormwater coverage; SpaceXAI disclosed the notice in an SEC filing and is negotiating an agreed order.

  1. The notice went to MZX Tech LLC, a SpaceXAI subsidiary, and was disclosed in an Oct.
  2. For lenders and investors in the Memphis-area data center buildout, the diligence question is whether stormwater coverage and air permits sit as conditions on construction draws or lease representations.

SpaceXAI faces up to $6.1 million in civil penalties after Mississippi's environmental regulator alleged the company disturbed ground at three data center sites before stormwater permit coverage.

The notice went to MZX Tech LLC, a SpaceXAI subsidiary, and was disclosed in an Oct. 23 SEC filing, according to Data Center Dynamics. The Mississippi Department of Environmental Quality (MDEQ) alleges that "disturbing construction activities at sites occurred prior to coverage under Mississippi's Large Construction Stormwater General Permit." It seeks up to $25,000 per day, with preliminary claimed exposure of about $6.1 million across the three sites. SpaceXAI said it is cooperating with MDEQ and is discussing a single agreed order.

For lenders and investors in the Memphis-area data center buildout, the diligence question is whether stormwater coverage and air permits sit as conditions on construction draws or lease representations. The filing does not identify the sites or dates, or how MDEQ allocated the roughly $6.1 million across the three.

The three sites are in Mississippi, just over the line from Memphis, where SpaceXAI began building in 2024. Two, Macrohard and Macroharder, are operating; Minihard remains under construction.

$6.1 million at the $25,000 daily maximum implies roughly 244 days of alleged violations in aggregate, about eight months across the three sites.

In a separate case, US District Judge Debra Brown rejected the Department of Justice's attempt to block a lawsuit by the NAACP. The suit alleges SpaceXAI built and operated a gas-fired power plant in Southaven, Mississippi, without required permits. "The EPA's role as a primary enforcer of the Clean Air Act does not mean that the federal government retains complete control over all Clean Air Act litigation," Brown said, according to Data Center Dynamics. The government had argued that penalties and an injunction halting turbine operations would threaten national security and economic interests. The near-term items are the agreed order with MDEQ and whether the Clean Air Act case reaches the injunction stage.
