Nvidia will invest $3 billion in Meta's equity offering, part of an expanded partnership between the two companies that is focused on Meta's Muse family of AI agents.
Meta had raised the size of the planned offering to $97.5 billion a day earlier, on Oct. 26. The total splits into $25 billion of common stock, $12.5 billion of convertible preferred depositary shares and up to $60 billion of shares Meta plans to sell after its non-voting Class C stock begins trading in the first quarter of 2027. The three parts add to $97.5 billion. Meta priced the preferred at $50 for each of 250 million depositary shares. The Nvidia agreement was reported Oct. 27.
For allocators weighing the offering, a supplier has now committed $3 billion to the same raise. The coverage does not say at what price Nvidia's shares are struck or whether the $3 billion sits inside the $97.5 billion total; the answer decides whether public buyers are asked to fund $94.5 billion of it or the full amount.
Under the agreement, Meta will expand its deployment of Vera Rubin and Vera CPUs, Spectrum-X Ethernet networking technology and BlueField-4 data processing units. The companies said they will collaborate on "optimizations across workflows" to improve inference and training performance and total cost of ownership, and will consider additional collaboration around Nvidia's OpenShell and Sentry offerings for the safe deployment of AI agents.
Jensen Huang, Nvidia's founder and CEO, described AI agents as a new computing paradigm in which software reasons, uses tools and completes work on a user's behalf. He said the two companies are expanding the partnership to "optimize the computing infrastructure end-to-end for capable, efficient and secure AI agents."
Meta introduced Muse in September 2026 as a personal AI agent that runs on a dedicated virtual machine hosting both the agent and a user's data. It reached the consumer market primarily through the Tamagotchi-like Charm device, and Meta has also released a version for small and medium enterprises that incorporates Dropbox, Slack and Zoom into the agent's workflow.
The timing gate is the Class C listing: the up to $60 billion of additional share sales cannot begin until those non-voting shares trade, which Meta plans for the first quarter of 2027.
