NewView and Carta counted 44 tender offers executed in the first half of 2026, which they describe as a small share of startups overall. A tender offer lets employees, and often early investors, sell a portion of their shares at a predetermined price to an approved investor. NewView founder Ravi Viswanathan said the aim is to get more chief executives thinking about the tool.
For advisors with clients holding startup shares, liquidity still depends on whether the company runs an event, sets a price and approves a buyer. The practical question for a concentrated private position is whether the company has a program at all.
Late-stage tenders triple
Tender offers for Series C and later-stage startups rose threefold over the past three years, according to a study by NewView and Carta. Viswanathan said the practice is no longer confined to the most valuable private companies such as OpenAI, Databricks and Anduril. NewView helped facilitate a tender for Hightouch at a $1.3 billion valuation last year, when the marketing customization startup was seven years old.
ElevenLabs, an AI voice generator, ran two tenders in less than a year. Viswanathan's case for the tool is retention: companies now stay private for 12 to 15 years, he said, and interim liquidity is needed so employees do not leave for public companies.
