Baceline's two Form Ds show $394 million sold in fourteen days

Both vehicles left the offering total unstated; on a Form D, that blank is an open shelf.

At a glance

  1. Baceline Income & Growth Fund, LLC accounts for $159.0 million of that; Baceline USRE Income & Growth Fund, LLC for $235.0 million.
  2. A pooled investment fund reporting $394 million sold in that window reads as capital already committed, the paper trail of a wrapper distributed first and documented second.
  3. The documents offer no reason for the pairing.

Two Form Ds landed on EDGAR on September 10, filed by two LLCs whose names differ by one word, reporting $394 million already sold between them. Baceline Income & Growth Fund, LLC accounts for $159.0 million of that; Baceline USRE Income & Growth Fund, LLC for $235.0 million. Neither stated a total offering amount, and that omission does more work than anything the issuers did report.

Both vehicles report a first sale of August 27, fourteen days before the filings landed, so the subscription book filled inside a fortnight and the Form D arrived behind it as a receipt. A pooled investment fund reporting $394 million sold in that window reads as capital already committed, the paper trail of a wrapper distributed first and documented second.

Why two vehicles, when one would do

The documents offer no reason for the pairing. Each fund names a different related person — Baceline Investments, LLC for the income and growth fund, BIGUSRE Manager, LLC for the USRE one — while the pair shares a first-sale date, fund type, and industry group: other investment fund, pooled investment fund. Parallel vehicles, feeder arrangements, and side-by-side offerings all generate filings that look like this, and nothing in the forms distinguishes among them. The pairing itself is the only evidence of intent; a manager content with a single pool files a single Form D.

Form D is a thin document by design, and this pair is thinner than most: among the fields reported there is no investor count, no minimum subscription, no stated exemption. The two reported amounts are the only hard facts the issuers have committed to. The pre-sold wrapper is the product in the private-markets build-out, as this publication has argued, and the blind pool sits until someone pre-sells it; these two never sat. What an allocator should take from the filings is a distribution observation rather than an asset one — the demand side cleared in two weeks, and that pace argues for leaving the shelf open. An unstated offering total is what an open shelf looks like.

The test is cheap and falsifiable. If a third Baceline vehicle files with an August 27 first-sale date, or either of these amends to state a ceiling, the open-shelf reading holds. If neither happens by year-end, this was two funds and a coincidence of scheduling, and the blank line was only a blank line.
