Wealth managers announced 156 RIA deals, closed 50 in 90 days

Steward's Jim Gold says volume may run five times the reported count; Mariner seeks a $150 million term-loan add-on, taking debt to $1.3 billion.

At a glance

  1. His firm's own 12-month mix implies about 1.7 times the reported count, according to the same reporting.
  2. A buyer's deal pipeline is not collateral for an RIA sale; price the buyer on closes, committed capital and who stays.
  3. The 32% is a snapshot of announcements against completions in one window, not an annual close rate.

Wealth managers announced 156 RIA deals and closed 50 in the 90 days to Oct. 26, according to Private Wealth Daily's reporting. That is 3.1 announcements for every completed deal, or a 32% ratio of closings to announcements across one quarter-length window.

Steward CEO Jim Gold says RIA deal volume may run five times the reported count. His firm's own 12-month mix implies about 1.7 times the reported count, according to the same reporting. Applied to the 156, those multiples imply about 265 deals at Steward's own ratio and near 780 at the top end, though the 1.7x is a 12-month measure and the 156 covers 90 days. The two figures are not equally firm: 1.7x comes from Steward's own transaction mix, five times is Gold's read on the wider market. Both point the same way — what gets counted is a fraction of what trades.

A buyer's deal pipeline is not collateral for an RIA sale; price the buyer on closes, committed capital and who stays. The questions that separate bidders are how many of a buyer's announcements became funded transactions over the past 12 months, and which of the target's advisors are committed to stay past the close. Neither answer appears in an announcement count.

The 32% is a snapshot of announcements against completions in one window, not an annual close rate. A deal announced late in the 90 days has had little time to close inside the window. Fifty closings in 90 days annualizes to about 200 if that pace held, an extrapolation from a single window rather than a forecast.

The busiest RIA buyers average $679 million a deal, below the median, according to Private Wealth Daily's reporting. Announced comps run from $330 million to $1 billion, a band whose midpoint is $665 million. The average sits above that midpoint and still below the median deal, which places the median above $679 million. The firms announcing the most are not, on average, buying above the median.

Those two readings sit together without contradiction. A market can be larger than the reported count and slower than the announced count at once: reporting captures a subset of transactions, announcement captures intent ahead of completion. For a buyer hunting targets, the undercount is the less comfortable of the two, since it implies more competition for the same practices than the visible pipeline suggests.

Mariner adds $150 million of debt

Mariner seeks a $150 million term-loan add-on that would lift debt to $1.3 billion. Moody's projects 6.7x debt/EBITDA and says ratings are unaffected, according to Private Wealth Daily's reporting.

At 6.7x, leverage limits how many of the 156 a single buyer can fund without new equity, which suggests the distance between the two columns is set partly in credit markets. That constraint does not show up in an announcement count.
