A $130M industrial refi that was really an ownership trade

Wells Fargo's middle-market desk underwrote 39 buildings and 225 tenants, and Darwin's principals used the moment to buy out their partners and take the portfolio whole.

At a glance

  1. A 49% stake rarely changes hands without a liquidity event behind it, and the refinancing is the one on the record—likely sized to retire existing debt and fund the buyout at once.
  2. Scale explains the lender's appetite: thirty-nine buildings and more than 2 million square feet work out to a touch over 51,000 square feet apiece, housing more than 225 tenants across two states.
  3. Industrial's clearing price is set by the operator and the rent roll, not the buildings, and this portfolio sits on that side of the trade.

With debt from Wells Fargo Commercial Banking's middle-market real estate team, Darwin Investment Group's principals closed a $130 million refinancing on a 39-building industrial portfolio stretching from Chicago's south suburbs into Southeast Wisconsin—and used the moment to buy the 49% their partners held, taking the portfolio to 100%, Connect CRE reported.

A 49% stake rarely changes hands without a liquidity event behind it, and the refinancing is the one on the record—likely sized to retire existing debt and fund the buyout at once. The term, rate, and leverage are undisclosed, which is where the mark sits: the price a bank just put on 2 million square feet of industrial is the story's missing number.

Scale explains the lender's appetite: thirty-nine buildings and more than 2 million square feet work out to a touch over 51,000 square feet apiece, housing more than 225 tenants across two states. Granular, multi-tenant industrial means hundreds of small credits—a cash flow that underwrites more comfortably than a single-tenant building standing on one signature.

Industrial's clearing price is set by the operator and the rent roll, not the buildings, and this portfolio sits on that side of the trade. What the loan actually finances is tenant retention—225 renewals to chase, run by operators who now own the whole book. Consolidating the promote to 100% is Cibula and Lewandowski buying more of a job they were already doing.

PWD's August read on Peachtree's $62.5 million refinancing of Graduate Nashville made the same point from the hotel side, where a three-year loan with two one-year options bought AJ Capital time on a recovering asset. The collateral differs—hotel rooms against 39 industrial buildings—but the instrument does the same work: rewriting ownership, control, and holding period rather than simply repricing a coupon.

Connect CRE lists Wells Fargo's side as commercial banking leader Paul Mokhatas, senior relationship manager Anu Agarwal, and portfolio management manager Paul Crusen, and Darwin's as Matthew Lewandowski, Erin Cibula, and Patricia Liston—a middle-market bank balance sheet extended across two states at nine figures.

Watch the next Chicago-area industrial refinance. If that desk shows up again on a granular portfolio, Wells Fargo is building a franchise in the corridor; if it doesn't, this price was written for a borrower the team already knew.
