Series A rounds split into as many as three prices, investors say

Peak XV's Shailendra Singh called terms and conditions unusually dispersed; Index Ventures' Jahanvi Sardana said rounds are split into tranches.

A Series A company now commonly tries to close its round at as many as three different prices at once, investors said at this year's TechCrunch Disrupt. The investors call the practice 'tranchopalooza.'

Shailendra Singh, a managing director at Peak XV, said he had never seen seed and venture as dysfunctional as now. He called it one of the hardest markets he has seen for raising. 'The burden is high to convince any top firm that you are amongst the few special companies that can break out,' he said, according to TechCrunch's Oct. 22 report. Singh said dispersion is wide on the terms a company is offered, how much capital it can raise and on what conditions.

For wealth allocators reaching venture through feeders and fund-of-funds, a three-price round is a marking question before it is a return question. The valuation a fund reports depends on which tranche it bought and which price the manager applies. The open question for an allocator comparing feeder NAVs is which price backs the number they are quoted and whether a later tranche in the same round re-prices the position.

Jahanvi Sardana, a partner at Index Ventures, said rounds are being split into tranches. Singh called the three-price close 'a crazy sign of market froth.'

TechCrunch reported Anthropic is preparing an IPO at a valuation of around $2 trillion and told investors this month it was profitable on an adjusted basis. The Daily Network reported on Oct. 23 that Anthropic backers' stakes are marked at a $965 billion private valuation. The gap between the two figures poses the same marking question as a multi-price round.

TechCrunch reported that Singh warned a correction could come as soon as 2027. Allocators committing to 2027 vintages would be picking managers before that plays out.
