Private-markets shelf restocks with healthcare and royalties

BOPG's two royalty feeders and Chicago Pacific Founders' fourth healthcare real estate fund landed in the same Sept. 4 Form D batch, while Cyanhill's $60 million venture fund logged zero sales.

At a glance

30-second brief
  • BOPG's two royalty feeders and Chicago Pacific Founders' fourth healthcare real estate fund landed in the same Sept.

  • The two BOPG feeders, Life Sciences Royalty Investments Feeder I LP and Feeder II LP, and Chicago Pacific Founders Healthcare Real Estate Fund IV, L.P. each filed with no disclosed offering amount and no reported sales.

  • Chicago Pacific's roman numeral is the quiet detail: this is the fourth vehicle in the numbered line, not a first-time structure, and the fund's name — like the BOPG feeders' names — tells you the strategy while the Form D merely records the vehicle.

On Sept. 4 the private-markets shelf restocked with healthcare and royalties as BOPG filed two feeder funds named for life-sciences royalty investments, Chicago Pacific Founders registered a fourth healthcare real estate fund, and Cyanhill's $60 million venture fund came to the shelf with a blank sales column. The same Form D batch also contained two small, fully sold SPVs.

The two BOPG feeders, Life Sciences Royalty Investments Feeder I LP and Feeder II LP, and Chicago Pacific Founders Healthcare Real Estate Fund IV, L.P. each filed with no disclosed offering amount and no reported sales. The only link the BOPG paperwork shows between the two wrappers is BOPG Life Sciences GP LLC, listed as a related entity on both. Whether the feeders are built for different investor groups, the documents do not say.

Chicago Pacific's roman numeral is the quiet detail: this is the fourth vehicle in the numbered line, not a first-time structure, and the fund's name — like the BOPG feeders' names — tells you the strategy while the Form D merely records the vehicle.

Cyanhill USD fund II LP is the one filing with a concrete number and an empty column: $60 million offered, nothing sold. The two completed vehicles in that batch sit at the opposite end of the size range — Discerning Capital Thesis SPV LLC, a $2.0 million private equity fund, reported the full $2.0 million sold, and Dealmakers Syndicate Fund LLC - Series 4, a $199,000 venture fund, also filled. Among the named line items, the closed books are the small, purpose-built vehicles; the open ones — BOPG's two feeders, Chicago Pacific's real estate fund and Cyanhill's $60 million venture fund — all show zero.

The deal side of PWD's 48-hour log carried its own run of real estate announcements: Invesco Real Estate Income Trust and VineBrook Homes Trust each had a deal announced; Related Companies, Waterfall Asset Management, Cruzan and Delaware Life announced a $64.7 million transaction; and Northmarq, MDH Partners and DHL Global Forwarding closed a deal. The log does not tie any of those entries to the Form Ds, but they kept real estate on the day's tape alongside the healthcare property fund being registered.

A Form D is an inventory report, not a demand signal, and the Sept. 4 inventory was arranged around royalty cash flows and healthcare property rather than another growth-equity fund. For private-wealth buyers, the shelf widened at the income end; the one fund with a visible size and a zero balance is Cyanhill's venture vehicle, waiting for its first recorded dollar.
