Hypertec CEO names 5C as IPO candidate after $5bn-$6bn round

Simon Ahdoot told the Bloomberg Canadian Finance Conference that listing discussions follow the close of the next debt-and-equity raise.

At a glance

  1. The IPO comment reads as a statement about the depth of private capital available to the platform at least as much as a liquidity plan.
  2. The platform itself was assembled last year, when Hypertec spun out Hypertec Cloud and merged it with the acquired 5C Data Centers.
  3. The new money is earmarked for a development pipeline across Ohio, Arizona, North Carolina and Tennessee that could reach more than 2GW at full build-out, plus a European expansion planned to support the AI firm Together AI.

Simon Ahdoot, chief executive of Hypertec, told the Bloomberg Canadian Finance Conference in New York this week that 5C, his data center and cloud unit, is a candidate for a public listing, with any discussion held until after the close of the incremental $5 billion to $6 billion debt-and-equity round now being raised.

That sequence rests on capital Hypertec has already assembled: more than $1.4 billion raised, with equity led by Brookfield Asset Management and debt led by Deutsche Bank, and Hypertec remains its largest shareholder, so a listing after the new round closes would leave control concentrated at the parent. The IPO comment reads as a statement about the depth of private capital available to the platform at least as much as a liquidity plan.

The platform itself was assembled last year, when Hypertec spun out Hypertec Cloud and merged it with the acquired 5C Data Centers. The parent's history runs longer: founded in 1984 as an IT systems and manufacturing business, Hypertec sold an earlier data center unit, Hypertec DCS, to Vantage in 2020, acquired Cloud.co in 2021 and relaunched it as Hypertec Cloud, which now says it offers services from 12 owned and colocation facilities globally.

The new money is earmarked for a development pipeline across Ohio, Arizona, North Carolina and Tennessee that could reach more than 2GW at full build-out, plus a European expansion planned to support the AI firm Together AI.

Together AI is the name doing the work. A signed AI-lab lease now prices like a hyperscaler contract, while an asset without one pays a liquidity penalty; a European build aimed at one named AI customer is a bet on converting the second kind of asset into the first. Hypertec has not said how much of the 2GW is under contract, which is the distinction that would price the debt. On power, grid access is the asset and generation is a derivative of permission, making a four-state pipeline a queue position as much as a construction schedule.

5C would not arrive alone. DCD lists Nscale, Firmus, SB Energy, Lambda, Vantage, CyrusOne and DayOne among those headed for listings in the near future, and Csquare, Magnora, Cerebras, Sharon AI and SpaceX among those that have gone public this year. Lambda stacked equity and debt ahead of a listing, the same order now underway at 5C, with the difference that Lambda sells GPU capacity while 5C develops the campuses that hold it.

The next marker is the close of the $5 billion to $6 billion round, which Ahdoot put ahead of any further IPO discussion.
