At a glance

  1. The final close covered GEM Independent Sponsors Fund II LP and related vehicles.
  2. Limited partners include foundations, healthcare institutions, insurance companies, university endowments and clients of GEM's outsourced chief investment office.
  3. Because some limited partners are also OCIO clients, an allocator evaluating the outsourced CIO will want to see how commitments to GEM's own vehicles are sized and approved.

GEM closed its second independent sponsor fund at a $685 million hard cap, a 52% increase over the $450 million first fund it raised in 2025, PE Professional reported on Oct. 30. The final close covered GEM Independent Sponsors Fund II LP and related vehicles.

Limited partners include foundations, healthcare institutions, insurance companies, university endowments and clients of GEM's outsourced chief investment office. Independent sponsors find and negotiate acquisitions of lower-middle-market companies without a committed fund behind them, raising equity deal by deal from investors such as GEM. GEM invests alongside them and typically supplies most of the equity while the sponsor leads and oversees the company.

Because some limited partners are also OCIO clients, an allocator evaluating the outsourced CIO will want to see how commitments to GEM's own vehicles are sized and approved. Deployment will also track independent sponsors' deal flow rather than a single acquisition program, because the fund invests transaction by transaction.

GEM has invested alongside independent sponsors for more than a decade, evaluating more than 1,200 opportunities and completing 87 investments with more than 30 sponsors. That is roughly one deal for every 14 reviewed. The firm says the record makes it one of the busiest institutional capital providers to independent sponsors in the United States by deal count.

Many of the sponsors GEM has backed have since raised committed funds of their own. GEM treats the program as a way to identify managers early and support them as they grow into traditional buyout firms.
