Gainline rolls Core Health into StepStone-led continuation

The single-asset vehicle gives existing LPs a liquidity option while adding fresh capital to fund the fitness equipment maker's expansion.

At a glance

  1. The report does not disclose the fund's size or how many existing LPs chose to roll instead of selling.
  2. Continuation vehicles let a sponsor transfer an asset from an aging fund into a new vehicle it also manages, often with a lead outside investor supplying new capital.
  3. If the goal were simply to drain an aging fund, the continuation vehicle could have been structured without new money.

Gainline Capital Partners has moved its six-year investment in Core Health & Fitness into a single-asset continuation fund led by StepStone Group, according to AltAssets, giving existing limited partners a liquidity option while raising fresh capital for the commercial fitness equipment maker's expansion. The report does not disclose the fund's size or how many existing LPs chose to roll instead of selling. The fresh capital is what separates this deal from a simple exit.

Continuation vehicles let a sponsor transfer an asset from an aging fund into a new vehicle it also manages, often with a lead outside investor supplying new capital. In the single-asset version, the fund's entire outcome rides on one company, which strips away diversification and makes the valuation at transfer the decisive number for LPs being asked to sell into a vehicle tied to the same manager. That manager conflict sits at the center of every GP-led deal, and it is especially sharp when the fund holds just one asset.

If the goal were simply to drain an aging fund, the continuation vehicle could have been structured without new money. Including expansion capital indicates that Gainline expects Core Health to keep growing and wants the business to have the resources to do so. The timing fits a broader pattern: secondaries capital has been outgrowing quality deal flow, and that surplus is pushing sponsors to use continuation structures rather than queue up for a traditional sale. Gainline has held Core Health for six years, long enough that an older fund's LPs may be ready for liquidity, and rather than put the company on the auction block, the sponsor is extending its runway inside a new fund with StepStone as lead.

The rollover remains unresolved. High participation by existing LPs would suggest they accept the new fund's valuation and want continued exposure; a wave of selling would indicate that the old fund's investors are treating this as the exit they had been waiting for. The GP-led market has moved past the point where a continuation fund is itself novel; the real test is in the terms, the pricing, and who stays. On this deal, who stays will determine whether the structure is serving the old fund, the new fund, or both.
