Cox Capital offers to buy Variant fund shares at 40% discount

Variant's governing documents require its consent for share transfers, which the fund may withhold at its discretion.

At a glance

  1. Variant can still stop a sale at 60 cents on the dollar.
  2. For advisors, the offer puts a documented choice in front of any client holding the fund: take a 40% haircut now, subject to Variant's approval, or wait for the fund's periodic repurchase offer.
  3. A 40% discount is evidence of what one buyer will pay for an illiquid position, not an appraisal of the loan book.

Cox Capital is offering to buy shares of the Variant Alternative Income Fund at a 40% discount, a price that would pay a selling holder 60 cents for each dollar of reported value.

Variant can still stop a sale at 60 cents on the dollar. Variant's governing documents require the fund's consent for any transfer of shares, and the fund may withhold that consent at its discretion. A holder who accepts Cox Capital's terms has agreed to a sale the fund can still stop.

For advisors, the offer puts a documented choice in front of any client holding the fund: take a 40% haircut now, subject to Variant's approval, or wait for the fund's periodic repurchase offer. The tender price also gives a client a third-party number to set beside the mark on their statement. That turns the conversation into a valuation question about the underlying loans rather than only a liquidity one.

A 40% discount is evidence of what one buyer will pay for an illiquid position, not an appraisal of the loan book. Secondary buyers set prices off their own return targets and the time it takes to recover capital, so the gap between the tender price and the fund's mark likely reflects the cost of illiquidity at least as much as any doubt about credit quality.
