American Overseas Group retires its 12% notes as quarterly profit falls to $1.6 million

Remaining debt is $5.3 million of 9 per cent notes after the 12 per cent issue was cleared.

At a glance

  1. The Bermudian-incorporated insurance holding company, listed on the Bermuda Stock Exchange and tax-resident in the United Kingdom, now reports total debt of $5.3 million, all of it 9 per cent Series A senior secured notes.
  2. At June 30 the company carried $9.4 million of total debt, $4.1 million of it the 12 per cent paper, leaving $5.3 million of other borrowing, the same figure AOG now reports as its entire debt stack.
  3. Underwriting gave it less to work with, as net earned property and casualty premiums fell 9.8 per cent to $11.5 million from $12.8 million, fee income slipped to $5 million from $5.4 million, and loss and loss-adjustment expenses took 63.3 per cent of earned premium, up from 58.3 per cent.

American Overseas Group earned $1.6 million in the second quarter, down from $2.5 million a year earlier, while cutting $6.5 million of principal from its 12 per cent senior secured notes during the first half, leaving $4.1 million outstanding at June 30 before retiring the balance in the third quarter. At June 30 the company carried $9.4 million of total debt, $4.1 million of it the 12 per cent paper, leaving $5.3 million of other borrowing, the same figure AOG now reports as its entire debt stack. The $10.6 million of 12 per cent notes retired this year carried roughly $1.3 million of annual coupon, about a quarter of the $4.9 million of net income the company recorded in the first half. Because $4.1 million of that paydown landed in the third quarter, part of the saving shows up only in the second half. AOG said it will take further steps to reduce leverage before considering a return of value to shareholders, unless other opportunities arise.

Operating expenses rose to $3.5 million from $3.3 million even as total expenses edged down to $15 million from $15.4 million, and revenue fell to $17.1 million from $18.7 million. Profit available to common shareholders was $33.60 per diluted share for the quarter, against $53.51 a year earlier, and first-half net income of $4.9 million compared with $6.8 million in 2025. Gross written premiums declined by $10 million to $250.9 million, a figure the report sets beside the quarterly comparisons without reconciling it to net earned premium.

Book value per weighted share moved the other way, to $1,338.04 at June 30 from $1,139.67, a gain of about 17 per cent that the report does not break down. That the two measures diverged is the part of the release the disclosed figures explain least well. The remaining notes carry the lower of the two coupons the company has carried this year, with no 12 per cent issue outstanding.
