Aegon's US redomicile leaves $800m in Bermuda capital behind

The parent holding company shifts to US regulators while two Bermuda units stay under BMA watch.

At a glance

  1. Approval would close a brief Bermudian tenure that began in 2023, when Aegon redomiciled from the Netherlands and the Bermuda Monetary Authority became its group supervisor.
  2. The Bermuda businesses stay outside the exit: Aegon's spokeswoman told the Gazette the group remains committed to Transamerica Life (Bermuda) Ltd., its high-net-worth life insurer, and TBRe, its reinsurance operation, which together held roughly $800 million in total equity capital at Dec.
  3. Aegon says the plan would not affect staff at the Bermuda businesses, while any impact on the holding company's employees in Bermuda would be handled the same way as for its Netherlands-based staff.

Aegon will ask shareholders on Oct. 8 for approval to move its corporate home from Bermuda to the United States, with the redomicile planned by Jan. 1, 2028, according to the Royal Gazette; the stated reason is that Transamerica, the US business, has become the largest operating unit and the main contributor to group profits and cash flow. Approval would close a brief Bermudian tenure that began in 2023, when Aegon redomiciled from the Netherlands and the Bermuda Monetary Authority became its group supervisor.

31, 2025. After the parent's move, the BMA would continue to supervise both entities; what shifts is the layer above them, as oversight of the parent holding company transfers to US regulators.

That separation is the capital-rules event: Bermuda would keep two regulated balance sheets on its books but lose the consolidated view that comes with group supervision, with the BMA's authority reaching the subsidiaries rather than the parent above them. Aegon says the plan would not affect staff at the Bermuda businesses, while any impact on the holding company's employees in Bermuda would be handled the same way as for its Netherlands-based staff.

Aegon also says it will continue its Bermuda community investment programme after the three-year initiative launched in 2025 ends, though the form of future support is still under consideration. In January, the firm distributed $180,000 through the Aegon Live Your Best Life Grant, $60,000 each to Age Concern Bermuda, Connectech Coding and Family Centre.

The grant total matters less than the $800 million of equity sitting inside two regulated Bermuda entities at the end of last year, meaningful capital for the island but small next to the profit base pulling the parent's legal home to the US. If shareholders approve, the BMA trades a group-supervisory relationship for a stream of subsidiary oversight, a less prominent job but one tethered to actual balance sheets. The registry is still filling while Aegon's parent prepares to leave: 42 entities joined the BMA list in 2026 through July, per this publication's tracking. If the shareholder meeting passes, the next Aegon financial statements will show a US parent above two Bermuda subsidiaries and a BMA that no longer sees the consolidated numbers.
