A 5-MW El Salvador solar sale lands with the price column blank

MPC Caribbean is selling a 5-megawatt solar farm in El Salvador with no buyer or price disclosed — the smallest version of a disclosure habit that pushes merchant risk onto lenders and second buyers.

At a glance

  1. As this publication has argued, the unpriced energy deal has become the sector's default form of disclosure, and each announcement that ships with the price column blank trains the market to read a sale as an intention rather than a fact.
  2. Size, at least, is legible: at 5 megawatts the project is small enough to change hands for balance-sheet or portfolio reasons as much as for the quality of its output, and too small on its own to move any clearing level.
  3. The blank column is a financing choice before it is an editorial one, and the mechanics cut in the seller's favor.

MPC Caribbean is selling a 5-megawatt solar farm in El Salvador, according to Renewables Now, and the notice carries neither of the two numbers that would turn it into a transaction: a buyer and a price. That omission does more work than the headline. As this publication has argued, the unpriced energy deal has become the sector's default form of disclosure, and each announcement that ships with the price column blank trains the market to read a sale as an intention rather than a fact.

Size, at least, is legible: at 5 megawatts the project is small enough to change hands for balance-sheet or portfolio reasons as much as for the quality of its output, and too small on its own to move any clearing level. The notice names no buyer, no price, and no terms, which leaves anyone outside the deal with nothing to compare against.

The blank column is a financing choice before it is an editorial one, and the mechanics cut in the seller's favor. A published price sets a ceiling for the next bidder and a floor for the next comparable; withhold it and the seller keeps optionality while the buyer, and the buyer's lender, absorb the cost of discovery — the unpriced deal pushes merchant risk downstream to lenders and second buyers. A 5-megawatt sale is the smallest version of that pattern, and nothing in the notice suggests the asset is mispriced, only undisclosed, which is a different problem and a harder one to audit.

Watch who signs. Small operating solar attracts second buyers rather than developers, and second buyers have become the price-makers in this market partly because primary sellers so rarely publish a number. If the eventual owner turns out to be a platform assembling distributed generation, the sale is a roll-up data point; if it is a local operator, it is housekeeping. The notice supports neither reading, which is what the blank column buys.

An announced sale is not a closed one, and this one may yet post a perfectly ordinary number, but the method deserves scrutiny. A sector angling for infrastructure multiples cannot keep auctioning assets with the price left out and expect the buyer's cost of capital to disclose on its behalf. The next thing worth reading is the buyer's name, because in a notice this thin the counterparty is the only price signal on offer.
