Among 23 pooled-fund Form D filings from Oct. 23–26 were nine private equity and eight venture capital funds.

$30.4MVC fund as Blue reports $32.7M sold

At a glance

  1. The filing listed no amount sold as of that date, so the $30.4 million is a target rather than capital already raised.
  2. Blue Co-Invest SCSp, an other investment fund, reported $32.7 million sold, the largest disclosed sale in the Oct. 23–26 window, while leaving its total offering amount undisclosed.
  3. For allocators screening by stated target, three filings with at least $6 million sold disclosed no total offering amount: Blue Co-Invest, Connelly Capital QP Fund LLC - Series 9 and Advanced Robotics Investments LLC.

8VC COSC, LLC filed a $30.4 million venture capital fund offering with the SEC on Oct. 26, the largest stated total offering among 23 pooled-fund Form D filings from Oct. 23–26. The filing listed no amount sold as of that date, so the $30.4 million is a target rather than capital already raised.

Blue Co-Invest SCSp, an other investment fund, reported $32.7 million sold, the largest disclosed sale in the Oct. 23–26 window, while leaving its total offering amount undisclosed. The filing shows a first sale on Oct. 19, seven days before the disclosure, and names Mario Marozzi and Mattia Scabeni as related persons.

For allocators screening by stated target, three filings with at least $6 million sold disclosed no total offering amount: Blue Co-Invest, Connelly Capital QP Fund LLC - Series 9 and Advanced Robotics Investments LLC. Connelly, a private equity fund, reported $10.0 million sold; Advanced reported $6.0 million. In those filings, the amount sold is the only public measure of raise progress.

The 23 pooled-fund Form D filings included nine private equity funds, eight venture capital funds, five other investment funds and one hedge fund; the count reflects the filings in that window, not every Form D submitted to the SEC. HCP Switchyard Fund, L.P., the week's only hedge fund, reported no amount sold.

Smaller filings included Bonhope Day1 SPV LLC, which reported a $5.0 million total offering and $5.0 million sold, and Climber Capital Master LLC - Series 1, at $4.9 million total and $4.9 million sold. Sub-$1 million vehicles included $260,000 offerings from CCI 1026 and Baltusrol Investments.

Because Blue Co-Invest and Connelly omitted total offering amounts, the target size of those raises is unknown, and the week's largest stated target and largest reported sale are not directly comparable disclosures.
